GENERAL TERMS AND CONDITIONS OF SALE AND USE

Article #1: Definitions

Hereinafter, we will refer to:

  • Site or Service: the https://www.DigitalSignage4.com website and all its pages.
  • Products : all of the (intagible) services that can be purchases or subscribed on the site.
  • Publisher: The person, legal or natural, responsible for the publication and content of the site.
  • User: The Internet user using the site or one of its Products.
  • Customer: the Internet user making a purchase of a service on the site.
  • Module: Refers to the software or plugin developed by IRC OUEST, intended to be used on e-commerce platforms such as PrestaShop or WooCommerce, allowing in particular the generation and integration of videos.
  • Subscription: Refers to a Customer’s subscription to one of the services offered on the site for a fixed or indefinite period, with or without automatic renewal, depending on the conditions chosen by the Customer.
  • Generative AI: Refers to the artificial intelligence features of the service, allowing the creation of audiovisual content (such as videos or images) based on the data provided by the User.
  • Content: Refers to all elements generated, uploaded, or published by the Customer via the module, including, but not limited to, videos, images, texts, audio files and all multimedia elements created or modified with the help of the module or the generative AI features.
  • “Social Sharing” Option: Refers to an optional feature allowing the Customer to share their generated videos on third-party platforms such as social networks or YouTube.
  • User Account: Refers to the personal interface accessible by username and password, allowing the Client or User to manage their information, subscription, videos, and preferences on the site.
  • Contribution: Refers to any content, including files, texts, settings, and other elements provided by the Client to generate an Output via generative AI.
  • Output: Refers to the final content generated by the AI or module from the Client’s Contributions, such as a video or image intended to be used on the e-commerce site or shared.
  • Application Service: Refers to access to the solutions and software provided by IRC OUEST in the form of Software as a Service (SaaS), allowing the management and generation of e-commerce content.
  • Force Majeure: Unforeseeable and insurmountable event beyond the Publisher’s control, affecting the performance of contractual obligations, such as a natural disaster, a government act, a major technical breakdown, etc.
  • Customer support: Service made available by IRC OUEST to provide assistance to Users and Customers, by email or telephone, in the event of a technical problem or question about the use of the module.
  • Business day: Refers to any day of the week, from Monday to Friday, with the exception of public holidays and bank holidays in France, during which customer support is available for assistance requests.
  • Additional conditions: Refers to the specific conditions applicable to certain features of the site or module, such as generative AI features, and which supplement the general T&Cs.
  • Intellectual property rights: Refers to the rights protecting the content, logos, brands, videos, and other elements published on the site or created via the module, belonging to IRC OUEST or to third parties.

Article #2: Legal notices required by the law on trust in the digital economy and purpose of the site

This site is published by IRC OUEST SARL, trading name Acacia Dynamic, whose head office is located at 1, rue La Pérouse, 17440 Aytré – La Rochelle, France. Legal information concerning the host and publisher of the site, including contact details and capital and registration information, are provided in the legal notices of the site. Information on the collection and processing of personal data (policy and declaration) is detailed in the personal data charter available on the site.

The main purpose of the site is the “E-commerce store management service”. It is freely accessible to any Internet user, but the acquisition of a product or service, the creation of a member area, or simple navigation on the site implies full acceptance of these general conditions by the Internet user, who acknowledges having fully read them.

Article #3: Characteristics of the services offered

The services and products offered are those listed in the catalog published on the site. Each product or service is accompanied by a description established by the publisher of the site. The photographs of the products in the catalog reflect a faithful image of the products and services offered but are not contractual insofar as they cannot ensure perfect similarity or the Service may undergo changes.

IRC OUEST also provides its users with a hotline, or telephone assistance, to answer their questions. Telephone assistance can be contacted by telephone at +33 (0)5 46 45 47 07 (non-premium number).

Article #4 : Prices

The prices listed in the catalog are prices understood in Euros excluding taxes (HT). IRC OUEST reserves the right to pass on any change in the VAT rate to the price of products or services. The publisher also reserves the right to modify its prices at any time. However, the price listed in the catalog on the day of the order will be the only one applicable to the buyer.

Article #5: Member or user area

The user registered on the site (member) can access it by logging in using their identifiers (email address defined when registering and password). The user is entirely responsible for protecting the password they have chosen. They are encouraged to use complex passwords. If they forget their password, the member can generate a new one. This password guarantees the confidentiality of the information contained in their “my account” section and the user is therefore prohibited from transmitting or communicating it to a third party. Failing this, the publisher of the site cannot be held responsible for unauthorized access to a user’s account. The creation of a personal space is an essential prerequisite for any subscription or contribution by the member on this site. To this end, the member will be asked to provide a certain amount of personal information. The member agrees to provide accurate information. The purpose of data collection is to create a “member account”. This account allows the member to view the Products subscribed to on the site and the subscriptions to which he/she is a holder. If the data contained in the member account section were to disappear following a technical breakdown or a case of force majeure, the responsibility of the site and its publisher could not be engaged, this information having no probative value but only an informative character. The pages relating to member accounts can be freely printed by the holder of the account in question but do not constitute proof in any way, they are only informative in nature intended to ensure efficient management of subscriptions and any contributions by the member. The publisher reserves the exclusive right to delete the account of any member who has contravened these general conditions (in particular, but without this example being in any way exhaustive, when the member has knowingly provided incorrect information when registering and/or creating his/her personal space) or any account inactive for at least one year. Said deletion will not be likely to constitute damage for the excluded member who will not be able to claim any compensation for this reason. This exclusion does not exclude the possibility for the Publisher to take legal action against the member, when the facts justify it.

Article #6: Exemption from the publisher’s liability in the context of the execution of this contract

In the event of inability to access the site, due to technical problems or any other nature, the User will not be able to claim damages and will not be able to claim any compensation.

The unavailability, even prolonged and without any time limit, of one or more products, cannot constitute a prejudice for Internet users and cannot in any way give rise to the granting of damages by the site or its publisher. The photographs and visuals of the products presented on the site have no contractual character, the responsibility of the publisher of this site cannot therefore be engaged if the characteristics of the objects differ from the visuals present on the site or if the latter are erroneous or incomplete. Article #7 : Intellectual property rights relating to the elements published on this site

All elements of this site belong to the publisher or a third-party agent, or are used by the publisher on the site with the authorization of their owner. Any copying of logos, textual, pictographic or video content, without this list being exhaustive, is strictly prohibited and is akin to counterfeiting. Any member who is guilty of counterfeiting may have their account deleted without notice or compensation and without this deletion constituting damage to them, without reservation of possible subsequent legal proceedings against them, at the initiative of the publisher of this site or its agent. This site uses elements (images, photographs, content) whose credits go to: PrestaShop, WooCommerce, Stripe, Paypal.

Article #8 : Brands

The brands and logos contained in the site are registered by IRC OUEST, or possibly by one of its partners. Any person carrying out their representations, reproductions, imbrications, diffusions and rediffusions incurs the sanctions provided for in articles L.713-2 and following of the Intellectual Property Code.

Article #9 : Limitation of Liability

The publisher of the site, IRC OUEST, undertakes to provide its online services with an obligation of means, and not of results. Under no circumstances can IRC OUEST be held liable for indirect damages, including, without limitation, loss of profits, loss of revenue, loss of customers or loss of data, resulting from the use or inability to use the site or its services.

The site may contain links to other websites or external resources. IRC OUEST declines all responsibility concerning the content of these third-party sites or their compliance with current legislation. The user accesses these external sites at his own risk.

9.5. Publicités et autres contenus de tiers

Advertisements and other third-party content displayed on the site are provided for information purposes only. IRC OUEST does not guarantee the accuracy, relevance or legality of this content, and cannot be held responsible for any damage, direct or indirect, that may result from consulting it.

Article #10 : Access to the site

The responsibility of the publisher of the site cannot be engaged due to a technical unavailability of the connection, whether it is due in particular to a case of force majeure, maintenance, an update, a modification of the site, an intervention of the host, an internal or external strike, a network failure, a power cut, or even an incorrect configuration or use of the user’s computer.

Article #11 : Account Closure

Each member of the site is free to close his account. To do this, the member must send an e-mail to the site indicating that he wishes to delete his account. The recovery of his data by the member is possible under the conditions specified in the section of these general conditions concerning the restitution of data.

Article #12 : Applicable law and mediation

These general terms and conditions are subject to the application of French law. They may be modified at any time by the publisher of the site or its agent. The general terms and conditions applicable to the user are those in force on the day of their subscription to a service on this site. The publisher of the site undertakes to keep the old versions of these general terms and conditions in the event of changes and to send them to any User who requests them.

Except for provisions of public policy, any disputes that may arise in the context of the execution of these general conditions may, before any legal action, be submitted to the assessment of the publisher of the site with a view to an amicable settlement. It is expressly recalled that requests for amicable settlement do not suspend the time limits for bringing legal actions. Except for provisions of public policy to the contrary, any legal action relating to the execution of this contract must be submitted to the jurisdiction of the courts within the jurisdiction of the Court of Appeal seized.

Consumer mediation

According to Article L.612-1 of the Consumer Code, it is recalled that “any consumer has the right to have recourse free of charge to a consumer mediator with a view to the amicable resolution of the dispute between him and a professional. To this end, the professional guarantees the consumer effective recourse to a consumer mediation system”.

In this respect, IRC OUEST offers its consumer clients, in the context of disputes which have not been resolved amicably, the mediation of a consumer mediator, whose contact details are as follows:

Please note that mediation is not mandatory but is only offered to resolve disputes while avoiding recourse to the courts.


Article #13 : Use of Cookies

A “Cookie” allows the identification of the user of a site, the personalization of his consultation of the site and the acceleration of the display of the site thanks to the recording of a data file on his computer. Article #14 : Modalité de souscription au service et descriptif du processus d’achat

The term “Basket” will be defined below as the intangible object (for example a page or part of a page of the site) grouping together all the Products selected by the user for a purchase or subscription. As soon as the Internet user considers that they have selected and added to their basket all the products they wish to purchase, they will have the possibility, to validate their order, to access a summary page on which they will be informed of the characteristics (in particular the volume and any options) of the products ordered, as well as their unit price, or the price of the subscription depending on the nature of the pricing of the service. If they wish to validate their order, the user must check the box relating to the ratification of these general conditions of sale and click on the validation button. The user will then be required to fill in the fields of an order form by providing a certain amount of personal data concerning them, necessary for the smooth running of the order. Once the user has validated this order form, he will be redirected to the online payment interface on which he can make his payment with the means of payment specified in the dedicated section of these general conditions. After a few moments, the user will be sent an order confirmation email, reminding him of the content of the order and its price.


Article #15 : Payment Information

The Internet user can place an order on this site and can pay by credit card. Payments by credit card are made using secure transactions provided by an online payment platform provider. Payment is made directly to the bank or payment provider receiving the Customer’s payment. In the event of payment by bank transfer, the availability periods defined in the article below only begin to run from the date of actual receipt of payment by the seller, the latter being able to provide proof of this by any means.


Article #16 : Provision

The provision of the service (otherwise known as its delivery) is immediate, or requires a short period of time. However, this period may not exceed 7 days. Any claim not made in accordance with the rules defined in the dedicated section of these general conditions and within the time limits specified cannot be taken into account and will release IRC OUEST from any liability towards the buyer. Upon receipt of a valid claim, IRC OUEST will communicate by email or telephone to the buyer the terms of reimbursement or modification of the order.


Article #17 : Termination and right of withdrawal

In accordance with Article L.221-28 of the Consumer Code, access to the DigitalSignage4 service being provided in the form of an online service with immediate activation, the user expressly waives his legal right of withdrawal from the moment access to the service is provided, unless otherwise specified in the offer.

17.1. Résiliation d’abonnement

The Customer may cancel his subscription at any time, but such cancellation will not result in a retroactive refund of payments made for the current subscription period. Termination only terminates payments for future periods.

17.2. Résiliation pour manquement

In the event of a breach by one of the parties of its contractual obligations, the contract may be terminated automatically by the other party after sending a formal notice by registered mail with acknowledgement of receipt and remaining without effect within 30 days. The formal notice must specify the obligations not fulfilled and allow the other party to remedy the situation.

17.3. Conséquences de la résiliation

In the event of termination of the subscription, the Customer loses access to the services and videos generated via the module, unless they have been saved or shared via export options on external platforms (social networks, YouTube, etc.). The Customer undertakes to cease all use of the access codes and content provided as part of the terminated subscription. Termination does not entitle the Customer to any compensation.

17.4. Incompatibilité et absence de remboursement

The total or partial inability to use the Service, in particular due to hardware incompatibility, cannot give rise to any compensation or reimbursement, except in the case of a hidden defect or proven non-conformity. In the event that the Service is not made available, the Customer has a period of six months, from the initial access date, to file a complaint; beyond this period, no complaints will be accepted.

Article #18 : Archiving

IRC OUEST will archive purchase orders and invoices on a reliable and durable medium constituting a faithful copy. The computerized records will be considered by the parties as proof of communications, orders, payments and transactions between the parties.

Article #19 : Conditions of access to the solution

This site provides the User with a solution on its server, accessible via the Internet. The various solution programs offered and the corresponding subscription conditions are presented on the site’s offer pages. Depending on the offer chosen, the site will inform the user of the validity period of their subscription. The site backs up and secures data. The site grants the user a personal, non-exclusive, non-assignable and non-transferable right to use the solutions, for the entire duration of the contract and for the entire world. The user may only use the application services and solutions in accordance with their needs and their documentation. In particular, the license relating to the solutions is granted for the sole and unique purpose of allowing the user to use the services, to the exclusion of any other purpose. The right of use means the right to represent and implement the application services in accordance with their intended purpose, in SaaS mode (“Software as a Service”) via a connection to an electronic communications network. The user may not under any circumstances make the solutions available to a third party, and strictly prohibits any other use, in particular any adaptation, modification, translation, arrangement, distribution, decompilation, without this list being exhaustive. If the site sets up a minimum subscription commitment for some of its offers, this will be stipulated clearly and distinctly on the offer page and during the subscription process.

Article #20 : Payment

The various solution programs offered and their corresponding subscription prices are presented on the offers or prices pages of the site.

The site specifies on these pages whether the billing is per period (per day, per month, per year, any period started being due, unless otherwise indicated, by the customer), or fixed according to a level of use of resources (any unit of resource started being due, unless otherwise indicated, by the customer), or any other access method, specified on this said page.

The billing method is also specified on the offers or prices pages of the site, or failing that in the section concerning the conditions of access to the solution of these general conditions.

In the event of automatic debit, the site will specify to the customer in the payment interface the date of the debit, and its amount, as well as the frequency, which may depend on each customer.

Article #21 : Data restitution

In the event of termination of the contractual relationship, whatever the cause, IRC OUEST undertakes to destroy or return, at the Client’s choice, all data belonging to it, in a standard readable format, at the first request made by registered letter with acknowledgment of receipt. The format of the data to be returned may be specified during exchanges between IRC OUEST and the Client to guarantee their compatibility with an equivalent environment.

The Client is required to actively collaborate with IRC OUEST to facilitate the recovery of its data and must keep its contact details up to date in order to guarantee the correct receipt of communications relating to the restitution of the data.

IRC OUEST will do what is necessary to ensure that the Client can continue to use its data without interruption, either directly or by transferring it to another service provider chosen by the Client, provided that the latter requests this within a reasonable period following the termination of the contract.

Article #22 : Conditions related to the use of generated videos and conditions for subscription renewal

22.1. Conditions d’utilisation des vidéos générées

When purchasing a subscription to the service, the user is allowed to generate an unlimited number of videos during the chosen subscription period (monthly or annual). However, each subscription sets a limit on the number of videos that can be used simultaneously on the user’s e-commerce site, depending on the chosen plan (for example, 30 videos, 500 videos, or other limitations provided).

In case of generation of a video exceeding this quota, any new video generated and added to the site will automatically replace one of the already active videos, in accordance with the subscribed limit. It is the user’s responsibility to manage these replacements according to their needs.

22.2. Fin d’abonnement et suppression automatique des vidéos

At the end of the subscription period, if the user does not renew, all videos generated by the module and hosted on the user’s e-commerce site will be automatically deleted from their e-commerce site, without the possibility of restoration. However, if the user has also subscribed to the “Social Sharing” option, the videos they have shared on their own social networks or broadcast on their YouTube channel may be kept and will not be affected by the end of the subscription. This option therefore allows the sustainability of content already exported to these external platforms.

Article #23 : Additional Terms Applicable to Generative AI Integrated with DigitalSignage4

These Additional Terms govern your use of our Services and Software.

23.1. Génération de contenu. Lorsque vous utilisez des fonctionnalités d’IA générative, il peut vous être demandé d’entrer ou de télécharger du contenu, tel qu’un fichier audio, un fichier vidéo, un document, une image ou du texte (y compris tous les paramètres de sortie, tels que le format d’image, le style, etc.) (collectivement, la ” Contribution “). La Contribution sera utilisée par les Services et le Logiciel pour générer une sortie, telle qu’une image, du texte ou un fichier vidéo, qui sera affiché dans les Services et le Logiciel (” Sortie “). IRC OUEST se réserve le droit de freiner, de limiter, de désactiver, de suspendre ou de résilier votre droit d’utiliser ou d’accéder aux fonctionnalités d’IA générative à tout moment, à sa seule discrétion et sans préavis.

23.2. Contribution. Vous êtes seul responsable de votre Contribution. Vous ne devez soumettre aucune Contribution qui : (a) inclut des marques commerciales ou d’autres éléments protégés par des Droits de propriété intellectuelle de tiers, à moins que vous ne disposiez de droits suffisants sur ces éléments ; (b) est destinée à générer une Sortie qui est substantiellement similaire à l’œuvre protégée par le droit d’auteur d’un tiers ou qui est autrement protégée par les Droits de propriété intellectuelle d’un tiers, à moins que vous n’ayez des droits suffisants sur cette œuvre ; (c) contient des informations personnelles, sauf si vous vous conformez à toutes les lois et réglementations en matière de protection des données et de confidentialité applicables aux informations personnelles, y compris en fournissant des avis de confidentialité et en obtenant le consentement, le cas échéant ; (d) enfreint la loi applicable ; ou (e) enfreint les Conditions. Nous pouvons automatiquement bloquer votre Contribution, à notre seule discrétion, si nous pensons qu’elle enfreint les droits d’un tiers, la loi applicable ou les Conditions.

23.3. Sortie.

23.3.1. Vos responsabilités. Vous êtes seul responsable de la création et de l’utilisation de la Sortie et de vous assurer que la Sortie est conforme aux Conditions ; cependant, nous pouvons utiliser les technologies, fournisseurs ou processus disponibles pour filtrer et bloquer les Sorties susceptibles d’enfreindre la loi applicable, les droits d’un tiers ou les Conditions avant que les Sorties ne vous soient fournies. IRC OUEST exclut toute garantie, expresse ou implicite, concernant la Sortie, y compris toute garantie implicite que la Sortie n’enfreindra pas les droits d’un tiers ou toute loi applicable. En outre, vous ne devez pas supprimer ou modifier les filigranes ou les métadonnées de l’Initiative d’authenticité du contenu (par exemple, les Informations de traçabilité du contenu) qui peuvent être générées avec la Sortie, ou tenter d’induire des tiers en erreur sur l’origine de la Sortie.

23.3.2. Pertinence de la Sortie. L’utilisation de fonctionnalités d’IA générative peut produire une Sortie inattendue ou inadaptée pour certains utilisateurs. La Sortie peut ne pas être unique et d’autres utilisateurs de fonctionnalités d’IA générative sont susceptibles de générer une Sortie identique ou similaire. La Sortie peut ne pas être brevetable par des Droits de propriété intellectuelle.

23.4. Licences octroyées à IRC OUEST. Les concessions de licence suivantes s’appliquent lorsque vous utilisez les fonctionnalités d’IA générative de DigitalSignage4.

23.4.1. Contributions textuelles par des Utilisateurs de la version gratuite. Si vous ne disposez pas actuellement d’un abonnement payant aux Services et Logiciels et soumettez une Contribution textuelle (y compris tous les paramètres de conception, tels que le style) à une fonctionnalité d’IA générative, vous nous accordez une licence non exclusive, perpétuelle, irrévocable, mondiale et libre de droits pour utiliser, reproduire, distribuer, modifier, concéder en sous-licence, créer des œuvres dérivées basées sur, afficher publiquement, exécuter publiquement ou traduire à la fois la Contribution soumise et toute Sortie correspondante à quelque fin que ce soit. Par exemple, nous pourrions rendre vos Contributions et Sorties accessibles publiquement à d’autres utilisateurs et permettre à ces utilisateurs de les utiliser pour créer leur propre contenu. La présente licence survit à la résiliation ou à l’expiration des Conditions. Si vous ne souhaitez pas nous octroyer cette licence, vous devez acheter un abonnement payant aux Services et Logiciels.

23.5. Limitation de responsabilité et recours

23.5.1. Limites de responsabilité

Notwithstanding any other provision of these Terms or any other agreement between the parties, IRC OUEST’s total liability for any infringement claim or other dispute related to an Output generated by DigitalSignage4 is limited to the total amount paid by the Customer for its subscription to DigitalSignage4 for the relevant period. This limitation applies for each Output or set of related claims.

23.5.2. Recours exclusif

The Customer’s exclusive remedy for any claim related to the Outputs or in the event of infringement is limited to the rights stipulated in this clause. No other remedy, including any claim for additional damages, may be brought by the Customer beyond the limits of liability defined above.

23.5.3. Notification et délai

The Client undertakes to notify IRC OUEST without delay in the event of a claim or dispute relating to the Exits. Any legal action or dispute resolution procedure must be initiated within two (2) years from the act or occurrence giving rise to the claim, failing which the claim will be deemed inadmissible.

Article #24 : Supervision of conditions

If any provision of these Terms and Conditions is found to be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from the Terms and Conditions and will not affect the validity and enforceability of any remaining provisions. These Terms and Conditions set forth the entire agreement between the User and the Website. They supersede all prior or contemporaneous agreements, whether written or oral. The Terms and Conditions are not assignable, transferable, or sublicensable by the User. A printed version of the Terms and Conditions and of all notices given in electronic form may be required in judicial or administrative proceedings relating to the Terms and Conditions. The parties agree that all correspondence relating to these Terms and Conditions shall be in the French language.

Article #25 : Notifications

Any notification or notice concerning these general conditions, the legal notices or the personal data charter must be made in writing and must be delivered in person, by registered or certified mail, by post or any other nationally recognized courier service that allows you to regularly track your packages, or by email to the addresses indicated in the legal notices of the site, specifying your surname, first name, contact details and subject of the notice.

Article #26 : Inaccuracies

It may be possible that, throughout the website and the services offered, and to a limited extent, there may be inaccuracies or errors, or information that is inconsistent with the general conditions, the legal notices or the personal data charter. In addition, it is possible that unauthorized modifications may be made by third parties on the site or on ancillary services (social networks, etc.). We make every effort to ensure that such discrepancies are corrected. In the event that such a situation escapes us, please contact us by post or by email at the addresses indicated in the legal notices of the site with, if possible, a description of the error and the location (URL), as well as sufficient information to allow us to contact you. For requests relating to copyright, please refer to the section on intellectual property.

Article #27 : Complaints

Any claim related to the use of the site, its services or any other related service, the site’s pages on possible social networks or the general conditions, legal notices or personal data charter must be filed within 365 days following the day of origin of the problem giving rise to the claim, regardless of any law or rule of law to the contrary. In the event that such a claim has not been filed within the following 365 days, such a claim will be forever inapplicable in court.

Article #28 : Statistical processing

By subscribing to the DigitalSignage4 license agreement and using the DigitalSigngage4 software, you authorize us to use your store data for statistical purposes, and once they have been made anonymous, to transfer or assign the corresponding statistical results to any person. If you do not wish to authorize IRC OUEST to use your store data for statistical purposes, you must notify us by registered mail addressed to IRC OUEST.
